Welcome, and thank you for your interest in Kimss Inc. (“Kimss,” “we,” or “us”). These Terms of Service (“Terms”) govern your access to and use of Kimss’s software, APIs, Documentation, and related tools, including our secure enterprise wrapper for Azure AI Foundry made available to manage and implement agents in your product (collectively, the “Service”). By using the Service, you agree to these Terms.

1. Access and Use

Provision of Access. Kimss is a solution for enterprise companies providing a secure response for the management and implementation of agents. Subject to your compliance with these Terms, Kimss grants you a limited right to access and use the Service.

Content and Suggestions. You may provide inputs to the Service (“Inputs”) and receive outputs or other functions generated by underlying AI models, including Azure AI Foundry (collectively, “Suggestions”). We may use this content to provide the Service, comply with applicable law, enforce our terms, and keep the Service safe.

Limitations and Customer Responsibility. You acknowledge that Suggestions are generated automatically by machine learning technology and that AI models may contain errors, misleading information, or biased data. You agree that you are responsible for evaluating, and bearing all risks associated with, the use of any Suggestions. The use of the Kimss product is fully the responsibility of the customer. Kimss takes no responsibility for the customer’s product or any impact resulting from the use of our Service, including ensuring appropriate safeguards and monitoring are in place.

Use Restrictions. You may not reverse engineer, decompile, or attempt to derive the source code or underlying structure of the Service; reproduce or create derivative works; or use the Service or any Suggestions to develop or train a model that is competitive with the Service.

2. Eligibility and Account

You must be at least the age of majority in your jurisdiction to use the Service.

When you register for an account, you agree that the information you provide to us is accurate and that you are solely responsible for maintaining the confidentiality of your account and password.

3. Payment Terms

Paid Services. Certain features of the Service require you to pay fees, which are calculated via tenant-level Kimss Credits. All fees are in U.S. Dollars and are non-refundable, except as required by law.

Payment Processing. To facilitate payment for the Service, we use Stripe, Inc., and by using the payment functions of the Service you agree to be bound by the Stripe Agreements.

Delinquent Accounts. Kimss may suspend or terminate access to the Service for any account for which any amount is due but unpaid.

4. Disclaimer of Warranties and No Support

No Support. We are under no obligation to provide support for the Service.

Disclaimer. THE SERVICE AND SUGGESTIONS ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS. KIMSS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SERVICE AND SUGGESTIONS. YOU AGREE THAT ANY USE OF SUGGESTIONS FROM OUR SERVICE IS AT YOUR SOLE RISK AND YOU WILL NOT RELY ON ANY SUGGESTION AS A SOURCE OF TRUTH.

5. Limitation of Liability

No indirect damages. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL KIMSS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, OR CONTENT.

6. Miscellaneous

Governing Law. Delaware law will govern these Terms except for its conflicts of laws principles.
